Article 1 - Definitions

In these terms and conditions, the following definitions apply:

  1. Mayelow: The sole proprietorship Mayelow, located in Diemen, The Netherlands, registered with the Chamber of Commerce under number 91736838, hereinafter referred to as "Service Provider".
  2. Client: The natural or legal person entering into an agreement with Mayelow.
  3. Agreement: Any arrangement between Mayelow and Client for the provision of services.
  4. Subscription: An ongoing agreement for the provision of design services for a specified period.
  5. Package: A one-time, defined service with predetermined deliverables.
  6. Dashboard: The online client portal accessible via portal.mayelow.com.
  7. Task: A specific design request submitted through the Dashboard.

Article 2 - Applicability

  1. These terms and conditions apply to all offers, quotations, and agreements between Mayelow and Client.
  2. Deviations from these terms are only valid if agreed upon in writing.
  3. The applicability of Client's general terms and conditions is explicitly excluded.
  4. If one or more provisions are void or annulled, the remaining provisions remain fully applicable.

Article 3 - Offer and Formation of Agreement

  1. All offers from Mayelow are non-binding unless explicitly stated otherwise.
  2. An agreement is formed after written confirmation by Mayelow, upon commencement of work, or by accepting these terms through the Dashboard.
  3. Mayelow reserves the right to refuse assignments without stating reasons.

Article 4 - Services

4.1 Packages

Mayelow offers the following one-time packages:

  • UX Audit: Complete scan including recommendations
  • Mini Redesign: Redesign of one page including presentation
  • Design System: Complete Figma design system with documentation

4.2 Subscriptions

Mayelow offers the following subscription plans:

  • Execute: Unlimited design & Webflow requests, 1 active task at a time, high priority, 2 users in portal, full portal access & task tracking, pause or cancel anytime
  • Partner: Everything from Execute package, plus proactive UX proposals and design ideas, strategic advice on product growth or conversion bottlenecks, monthly UX reporting + recommendations, quarterly call for roadmap and priorities, access for 5 team members

4.3 Working Method

  1. Tasks are submitted via the Dashboard at portal.mayelow.com
  2. Communication is asynchronous (written)
  3. No guarantee of 24/7 availability or rush requests
  4. Average delivery time: small tasks 1-2 business days, large tasks 3-5 business days

Article 5 - Trial Period

  1. New subscription clients are entitled to a 7-day trial period.
  2. Upon cancellation within the trial period, Client receives 75% refund of the paid amount.
  3. The trial period applies once per Client.

Article 6 - Prices and Payment

  1. All prices are in EUR and exclusive of VAT unless stated otherwise.
  2. EU business clients with valid VAT number: reverse charge applies (0% VAT).
  3. Package prices must be paid in advance.
  4. Subscription fees are invoiced monthly in advance via Moneybird.
  5. Payment term: 14 days from invoice date.
  6. In case of late payment:
    • Client is automatically in default
    • Work will be suspended
    • Statutory commercial interest is due
    • Extrajudicial collection costs are borne by Client

Article 7 - Execution of Agreement

  1. Mayelow endeavors to execute the agreement to the best of its knowledge and ability.
  2. Mayelow has the right to have work performed by third parties.
  3. Client ensures timely provision of required information and materials.

Article 8 - Changes and Additional Work

  1. Changes to the assignment may lead to additional work and adjustment of delivery times.
  2. Additional work is communicated in advance and executed after approval.
  3. Package clients can upgrade to a subscription with partial credit.

Article 9 - Suspension and Pausing

  1. Subscriptions can be paused or cancelled monthly.
  2. In case of vacation or absence of Mayelow (max. 2 weeks per quarter):
    • Client will be informed in advance
    • Subscription can be paused or compensated
  3. For extended absence (>2 weeks), a suitable solution will be discussed.

Article 10 - Intellectual Property

  1. All rights to works developed by Mayelow remain property of Mayelow until full payment.
  2. After payment, Client obtains usage rights in accordance with the agreement.
  3. Source files (Figma, Webflow) are transferred after payment.
  4. Mayelow retains the right to use works for promotional purposes unless otherwise agreed.

Article 11 - Confidentiality

  1. Both parties are obligated to maintain confidentiality of confidential information.
  2. This obligation continues after termination of the agreement.
  3. Exceptions apply to legal disclosure obligations.

Article 12 - Liability

  1. Mayelow is only liable for direct damage caused by intent or gross negligence.
  2. Liability is limited to the invoice amount of the relevant assignment.
  3. Mayelow is not liable for:
    • Indirect or consequential damage
    • Damage due to incorrect/incomplete information from Client
    • Damage caused by third parties
  4. Client indemnifies Mayelow against third-party claims.

Article 13 - Force Majeure

  1. In case of force majeure, obligations are suspended.
  2. Force majeure includes all circumstances beyond Mayelow's control that make performance impossible.
  3. If force majeure lasts longer than 30 days, both parties may terminate the agreement without compensation.

Article 14 - Complaints

  1. Complaints must be reported in writing within 7 days after delivery.
  2. Complaints do not suspend payment obligations.
  3. Mayelow aims to handle complaints within 14 days.
  4. For justified complaints, Mayelow will properly execute the work.

Article 15 - Termination and Dissolution

  1. Subscriptions can be cancelled monthly with 7 days notice.
  2. Packages cannot be cancelled after work has commenced.
  3. Mayelow may terminate the agreement with immediate effect in case of:
    • Bankruptcy or suspension of payment of Client
    • Repeated non-compliance with obligations
    • Unreasonable or disrespectful behavior

Article 16 - Service Limitations

Mayelow exclusively performs work in the areas of:

  • UX Design
  • UI Design
  • Webflow Development

Explicitly excluded are:

  • Branding and logo design
  • Copywriting
  • Marketing campaigns
  • SEO/SEA services

Article 17 - Privacy and Data Protection

  1. Mayelow processes personal data in accordance with GDPR.
  2. Details are included in the separate Privacy Policy.
  3. Client guarantees lawful processing of provided personal data.

Article 18 - Amendment of Terms

  1. Mayelow reserves the right to amend these terms.
  2. Changes will be announced at least 30 days in advance.
  3. For substantial changes, Client has the right to terminate the agreement.

Article 19 - Applicable Law and Disputes

  1. All agreements are governed by Dutch law.
  2. Disputes will be submitted to the competent court in Amsterdam, The Netherlands.
  3. Parties will first attempt to reach a solution through mutual consultation.

Article 20 - Final Provisions

  1. These terms come into effect on August 17, 2025.
  2. These terms are deposited with the Chamber of Commerce.
  3. The most recently deposited version always applies.
  4. These terms are provided in English. In case of translation disputes, the English version prevails.
